These Terms of Agreement (“Agreement”) set forth the legally binding terms for your use of Video Collective Services (the “Services”). By using the services, you agree to be bound by this Agreement, whether you are not registered (“Visitor”) or you are a registered user (“Member”). The term “User” refers to both Visitors or Members.

You are only authorised to use the Services if you agree to abide by all applicable laws and to this Agreement.

1. Your Status

1.1 You warrant that you are at least 18 years old and are legally capable of entering into binding contracts.

2. Application and Membership

2.1 You have to register as a member of Video Collective in order to be able to post a CV, job or company listing on the website.

2.2 Members have to complete the registration details as accurately as possible. You should notify us of any changes to your personal details. We would prefer it if you used your own identity rather than hide it, but we know that we can do nothing about that. If however, we become aware of people not using their true identity we reserve the right to terminate their membership with immediate effect.

3. Content of Postings

3.1 You may not post anything on Video Collective that contains any offensive language or anything which is considered by us to be obscene, threatening, harassing or defamatory or otherwise unlawful. This includes job listings, applications, profiles, company listings, comments and blog articles.

3.2 In particular, don’t use Video Collective for any illegal or unlawful purpose including posting anything that is fraudulent, inaccurate, incomplete, false or misleading. You must not impersonate any person, group company or entity nor must you disguise the origin of any message that you send. In the event that Video Collective is made aware of any such posting your membership will be terminated with immediate effect.

3.3 Video Collective does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (“Content”) that you post on the Site. After posting your Content, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose.

4. Intellectual Property Rights

4.1 You acknowledge that Video Collective owns all the intellectual property rights to the Website and that any reproduction, distribution or publication of any content is prohibited without the express written consent of Video Collective. 4.2 By posting on Video Collective, you are agreeing to allow us to publish and reproduce its contents in whatever way we choose In legal terms this means that you are granting us a non-exclusive, perpetual, royalty-free licence to publish, modify and reproduce any posting which you send us.

5. Our Commitment

5.1 Video Collective will use all reasonable efforts to maintain the website in a fully operational state but we cannot guarantee continuous or uninterrupted operation of the Service or that it will always be error free.

6. We are a Neutral Venue

6.1 As a User, you acknowledge that we are not a product or service provider, vendor, or agent representative for any Vendor. We and the Services function solely as a neutral venue where Users may connect for particular types of services or products. We are not involved in or a party to the actual transaction between Users. As a result, we have no control over the existence, quality, accuracy, safety, or legality of the transactions that take place on our Services or the accuracy of any Vendor listings. We have no control over the ability of Vendors to provide items or perform services or the ability of Clients to pay for any goods and services. We make no representations or warranties and are not liable or responsible for the actions or inactions of our Users.

7. Liability and Indemnity

7.1 Video Collective cannot accept any liability for any posting and you acknowledge that Video Collective cannot be liable. We cannot guarantee the accuracy of any of the postings that appear on Video Collective. It is up to you to check out people and companies you are put in touch with through Video Collective with utmost care. Ask for references, check company track records. You use Video Collective at your own risk, so be smart and stay safe.

7.2 Video Collective is operated on an ‘as is’ basis without warranties of any kind either express or implied. Neither Video Collective nor anyone else involved in creating, producing or delivering Video Collective should be liable for any direct, indirect, incidental, special or consequential damages arising out of the use of the service or inability to use the service in breach of any warranty.

7.3 You are responsible for the content posted by you (or any person accessing your account) and you agree to indemnify Video Collective in respect of any losses, expenses, damages and costs, including any legal fees resulting from: (1) any breach by you of these terms, (2) any infringement of copyright or intellectual property rights in material posted by you, (3) any other wrongful use by any member of the Service.

7.4 Video Collective does not provide any warranty or guarantee concerning the information relating to individuals contained in the Database and therefore we cannot accept any liability associated with its use. All terms, conditions, warranties and representations, express or otherwise to be implied, including, but not limited to, any implied terms of merchantability, satisfactory quality, or fitness for a particular purpose are excluded.

7.5 Profiles created and posted by Members on the Site may contain links to other websites. Video Collective is not responsible for the Content, accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by Video Collective. Inclusion of any linked website on the Site does not imply approval or endorsement of the linked website by Video Collective. When you access these third-party sites, you do so at your own risk.

7.6 Video Collective does not warrant or represent and excludes all warranties or representations that the material and information, including advertising material, on the Website is accurate, true or complete or that it is free of viruses or that it does not contain any material which is defamatory, obscene or illegal in any way.

7.7 In no circumstances will Video Collective be liable to you or any other third parties for any loss or damage (whether direct or indirect, including loss of profits, loss of opportunity or any consequential loss) resulting from or in any way connected with your use of the Website or its content, whether caused by negligence, misrepresentation, breach of any statutory duty, or breach of contract or otherwise.

8. Termination

8.1 We reserve the right to terminate (or to suspend, restrict, or attach conditions to your account and access to the Website) if you are in breach of these Terms or otherwise. Video Collective may terminate any account entirely at its own discretion. We reserve the right to deny access to any member for any reason which we consider appropriate.

9. Personal Information

9.1 We will respect the privacy of all your personal information in accordance with our Privacy Policy. You should be aware that we do reserve the right to use your email address for the purposes of what we in our absolute discretion consider to be marketing that is relevant to members. In subscribing to the service you expressly consent to your email address being included in the Video Collective email list. If at any time you object to the use of your email address in this way you should contact us by email info@freelancevideocollective.com to state the address you want to be removed.

10. Advertising

10.1 Part of our income comes from advertising and affiliate links – which allows us to develop new services, and keep the website free.

10.2 In the event that the Website displays or advertises promotions, discounts, services or products which are offered by other parties or other individual members and you take advantage of such offers then your contractual relationship is with that third party.

10.3 We only work with advertisers who we feel are relevant to filmmakers, and we will never sell your details to any third party.

11. General Matters

11.1 Video Collective will immediately terminate your membership if we believe that you are involved in any way in transmitting junk email, spam, unsolicited email in any form including bulk email, commercial or otherwise either through the Video Collective Service or to any member of Video Collective.

11.2 You should not engage in harvesting or otherwise collecting information including email addresses about other members.

11.3 Each user agrees to discontinue any communication with any member of the Service if that person so requests. In other words, it is unacceptable behaviour for any member to harass another member.

11.4 Video Collective is committed to equal opportunities for all members, regardless of race, gender, sexual orientation, age or religion. We will not tolerate any form of abusive language in postings or in emails sent to other members, in particular when it could be considered to work against our commitment to equality.

11.5 Video Collective can also amend or modify these Terms at any time by notifying members either by email or on the home page at freelancevideocollective.com. If any of these terms is found to be invalid or unenforceable, the remainder of the terms shall continue in full force and effect.

11.6 These terms and your use of the Website and the Service are governed by English Law and you agree to submit to the jurisdiction of the English courts.
